WAIVER OF LIABILITY, RELEASE,

ASSUMPTION OF RISK AND INDEMNITY AGREEMENT

Disclaimer: You should always consult with your doctor before beginning any type of exercise or physical activity. This is an important legal document. It explains the risks you are assuming by beginning an exercise program. It is critical you read and understand it completely. In no event will Move4 (“Move4”) be liable for any direct, indirect, special, or other consequential damages resulting from your use of the Move4 studio, Move4 website (www.move4studio.com), the App, any other linked/third-party website, including without limitation, any lost profits, business interruption, loss of programs, or other data on your information handling systems or otherwise, including any claims waived by you previously in this agreement even if Move4 expressly advised of the possibility of such damage. All information is provided by Move4 LLC on an “as is” basis only. Move4 provides no representations and warranties, express or implied, including the implied warranties of fitness for a particular purpose, merchantability, and non-infringement.

Upon creating an account, you are acknowledging and agreeing to the Move4 Terms and Conditions and Privacy Policy and to the below studio, on-demand, and live streaming classes waiver of liability, release, assumption of risk and indemnity agreement. By acknowledging this document, you will have waived certain legal rights, including the right to sue.

In consideration for being allowed to participate in classes and activities operated by Move4, its subsidiaries, affiliates, employees, instructors, independent instructors, and agents, I hereby understand, agree, and acknowledge on behalf of myself, my heirs, administrators, and assigns the following:

1. I will be attending classes, activities and other programs utilizing facilities and equipment and performing exercise at Move4, on demand, and live streaming, including but not limited to Xformer classes (such as Power and Foundations), mat-based classes (such as Lift, Pyramid, Sweat, Tempo, Barre, and Align), dance cardio, and circuit training, using equipment such as springs, straps, handlebars, balance bars, weights, and resistance tools, often in grippy socks or bare feet, from which there are inherent risks and dangers, which can include, but not limited to, physical injury to my legs, knees, back, shoulders, head, injury, or strain to the cardiovascular, circulatory and/or respiratory systems and injuries to other parts of the body; slips and falls; equipment failure or malfunction; the actions of other participants; and exposure to illness or infectious disease. When I take on-demand or live-streamed classes, I am responsible for the safety of my own space and equipment.

2. I agree to assume all risks related to or inherent in such participation, which may include, but are not limited to, serious physical injury and death and shall indemnify and hold harmless Move4 from same.

3. It is my responsibility to inform Move4 and my instructor, before class, of any medical or physical condition, injury, or pregnancy that may affect my participation, including but not limited to cardiac irregularity, episodes of dizziness, asthma or other breathing difficulties, diabetes, neurological disorders, spinal, joint, tendon or ligament injuries, or high/low blood pressure. If I have such a condition, I have either consulted a physician who has approved my participation, or I have chosen to participate without a physician’s approval and accept full responsibility for that decision. Move4 may record information I share in my account so instructors can offer modifications, as described in the Move4 Privacy Policy.

4. If a physician has advised me to limit my physical activity, I will follow that advice and tell my instructor. I am not under the influence of any medication or substance that would prevent such participation.

5. It is the recommendation of Move4 that I consult with a physician before participating in classes and that my participation in such classes is purely voluntary and occurs at my own risk.

6. Any instructions and advice of instructors is not to be construed by me to be medical advice. Instructors may give hands-on corrections to help me maintain safe form; I may tell my instructor at any time that I prefer not to receive them.

7. If in the opinion of Move4 my access or participation may endanger my health, Move4 may deny me access and the right to participate until I furnish a letter from my physician stating that in the opinion of such physician I am medically and physically able to participate in Move4 classes.

8. Move4 is not in any way responsible for the safe keeping of my personal belongings while I attend a class and that any storage capability that is provided for my use by Move4 is strictly as a courtesy for my own benefit and at my own risk.

9. In consideration of my right to pay for and participate in classes I execute this release and agree to, on behalf of myself, my heirs, administrators and assigns, waive, release, hold harmless and indemnify, and agree not to sue or bring any other legal action against, Move4 LLC, its employees, independent contractors, representatives, equipment manufacturers, licensors, officers, managers, members, and agents from any and all injuries, claims, damages and causes of action, including but not limited to Covid-19 and other infectious diseases, (“claim”) that may arise from my participation regardless of how such claim may have come about, including claims arising from the ordinary negligence of Move4 or any of the parties released above.

10. I consent and agree that Move4 may take photographs or videos of me in or using the Move4 facilities and equipment, including at studio events and milestone celebrations. I agree that such photographs or videos and copies thereof may be used by Move4 on its website, social media, advertising, and other marketing, without compensation to me. I hereby assign all copyrights or other rights in such photographs or videos and copies thereof to Move4.

11. I am responsible for the cost of repairing any damage to Move4 equipment or property that I cause through misuse or failure to follow instructor directions.

12. I authorize Move4 to charge my card on file for purchases, membership payments, and any late-cancel, no-show, or other fees described in the Move4 Terms and Conditions.

13. If I am under 19 years of age, my parent or legal guardian must also sign this agreement, and I may participate only as allowed by Move4’s policies for minors (currently ages 14 and 15 with adult supervision and a signed minor liability form).

14. I have read and understand the foregoing and I have had the opportunity to have this document reviewed by an attorney of my choice.

15. The rules and regulations of Move4 may change from time to time and my continued participation is an acknowledgment of my agreement to such rules and regulations as they may change from time to time.

16. This agreement and release shall remain in full force and effect for so long as I participate in activities and classes at Move4.

17. The venue for any dispute arising from this agreement shall be in Houston County, Alabama, regardless of which Move4 studio is involved, and this agreement shall be governed by Alabama law.

18. In the event any portion of this agreement is deemed to be not enforceable, then it shall not impair the remainder of the agreement.

I HAVE READ THIS WAIVER, FULLY UNDERSTAND ITS TERMS, AND UNDERSTAND THAT I AM GIVING UP SUBSTANTIAL RIGHTS, INCLUDING MY RIGHT TO SUE. I SIGN IT FREELY AND VOLUNTARILY, AND I INTEND IT TO BE A COMPLETE AND UNCONDITIONAL RELEASE OF ALL LIABILITY TO THE GREATEST EXTENT ALLOWED BY LAW.
